Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether an individual or an entity) and InfectoSnap ("Company," "we," "our," or "us") governing your access to and use of the InfectoSnap platform, including the Provider App, Family App, Business Dashboard, and all related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Definitions

• "Healthcare Institution": Hospitals, clinics, laboratories, and other licensed healthcare facilities
• "Healthcare Provider": Licensed medical professionals authorized to use the Provider App
• "Patient": Individuals whose health data is processed through the Services
• "User": Any individual or entity accessing the Services
• "AI Diagnostic Tool": Our artificial intelligence-powered skin condition analysis system

2. Eligibility and Account Registration

2.1 Eligibility Requirements

To use our Services, you must:

• Be a licensed healthcare institution, healthcare provider, or authorized patient
• Have the legal capacity to enter into binding agreements
• Comply with all applicable laws and regulations in Nigeria
• Not be prohibited from receiving services under applicable laws

2.2 Account Registration

• You must provide accurate, current, and complete registration information
• You are responsible for maintaining the confidentiality of your account credentials
• You must immediately notify us of any unauthorized access to your account

3. Description of Services

3.1 Provider App

The Provider App enables healthcare professionals to:

• Capture and submit images of skin conditions for AI analysis
• Receive AI-generated diagnostic suggestions
• Access patient records and clinical history
• Document clinical observations and treatment plans

3.2 Family App

The Family App enables patients and families to:

• Maintain personal health records
• Connect with healthcare providers
• Receive appointment reminders and health updates

3.3 Business Dashboard

The Business Dashboard enables administrators to:

• Monitor institutional analytics and performance metrics
• Manage staff access and permissions
• Generate compliance and operational reports

4. Important Medical Disclaimer

4.1 No Medical Advice

• The Services do not provide medical advice, diagnosis, or treatment
• Healthcare providers remain solely responsible for patient care decisions
• Patients should not rely on AI outputs without professional medical consultation
• Emergency medical situations require immediate attention from qualified professionals

4.2 Healthcare Provider Responsibility

Healthcare providers using the Services acknowledge that:

• They maintain full clinical responsibility for patient diagnoses
• AI suggestions are one factor among many in clinical decision-making
• They must exercise independent professional judgment
• They are responsible for appropriate follow-up care and referrals

5. Acceptable Use

5.1 Prohibited Conduct

You may NOT:

• Use the Services for any unlawful purpose
• Upload false, misleading, or fraudulent information
• Attempt to reverse-engineer, decompile, or extract our AI models
• Share login credentials or allow unauthorized access
• Use the Services to discriminate against any individual
• Submit non-medical images or content
• Interfere with or disrupt the Services or servers
• Circumvent security measures or access controls
• Resell, sublicense, or redistribute the Services

6. Intellectual Property

6.1 Our Intellectual Property

InfectoSnap and its licensors own all rights in:

• The platform software, algorithms, and AI models
• Trademarks, logos, and brand elements
• Documentation, training materials, and content

6.2 Your Data

You retain ownership of:

• Patient data submitted to the Services
• Clinical notes and observations you create
• Institutional data and configurations

7. Subscription and Payment

• Services are provided on a subscription basis
• Pricing and features vary by plan tier
• All fees are non-refundable except as required by law
• We may change pricing with 30 days' notice
• Late payments may result in service suspension

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFECTOSNAP SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Lost profits, revenue, or data
• Business interruption or loss of goodwill
• Clinical outcomes or patient harm
• Third-party claims

Our total liability for any claims shall not exceed the fees paid by you in the 12 months preceding the claim, or USD $10,000, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless InfectoSnap from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your use of the Services
• Clinical decisions made using the Services
• Your infringement of third-party rights

11. Term and Termination

11.1 Termination for Convenience

Either party may terminate with 30 days' written notice.

11.2 Termination for Cause

We may terminate immediately if you:

• Breach these Terms materially
• Fail to pay fees when due
• Engage in fraudulent or illegal activity
• Pose a security risk to the Services

11.3 Effect of Termination

Upon termination:

• Your access to the Services will cease
• You may request data export within 30 days
• We will delete your data as required by law

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.

12.2 Informal Resolution

Before initiating formal proceedings, parties agree to attempt informal resolution through good-faith negotiation for at least 30 days.

12.3 Arbitration

Disputes not resolved informally shall be settled by arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act 2023.

13. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between us
• Amendments: We may amend these Terms with 30 days' notice for material changes
• Severability: If any provision is unenforceable, remaining provisions remain in effect
• Assignment: You may not assign these Terms without our consent
